Terms of Service

1. Agreement to Terms
By accessing, registering for, or using the KarmaCX website (https://karma-bot.com) and any related services, products, software, APIs, widgets, or documentation (collectively, the "Services"), you agree to be legally bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you must not access or use the Services.
These Terms form a legally binding agreement between you (the "Customer", "you", or "your") and KarmaCX. Acceptance occurs upon account registration, first use of the Services, or execution of any order, whichever occurs first.

KarmaCX is operated from Cyprus and provides AI-powered customer support automation services globally.

3. Services Description
KarmaCX provides AI-powered customer support automation services, including but not limited to:
- Automated customer support chatbots powered by large language models (LLMs)
- Multi-channel customer interaction management, including chat, web, and email
- API-based integrations with customer support platforms, helpdesks, and CRM systems
- Analytics, reporting, and performance insights related to customer interactions and AI outputs
- Human-in-the-loop workflows allowing review, approval, or escalation of AI-generated responses
- Knowledge base ingestion, management, and semantic or hybrid search
- Demonstration and evaluation environments
The Services utilise artificial intelligence systems and infrastructure provided by third-party AI providers, including OpenAI, Anthropic, and Google (Gemini). KarmaCX uses such services in accordance with the applicable contractual terms of those providers and applicable laws. Where required, KarmaCX acts as a customer or authorised user of such providers and does not permit those providers to use Customer Data for training their general-purpose models.
Under the EU AI Act, the AI systems used by KarmaCX are classified as limited-risk systems. KarmaCX complies with applicable transparency, documentation, and human oversight obligations, as further described in our Privacy Policy.
4. User Accounts
To access certain features of the Services, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update account information
- Keep your login credentials confidential and secure
- Notify KarmaCX without undue delay of any unauthorised access or security breach
- Accept responsibility for all activities conducted through your account
You are responsible for ensuring that only authorised personnel access the Services under your account.
5. Demo Usage
Any demo or trial functionality is provided solely for evaluation and non-production purposes. You must not input personal data, confidential information, or sensitive data into demo environments. Demo environments may differ materially from paid Services and are provided without warranties.
6. Billing and Payment
6.1 Pricing Model
KarmaCX operates on a pay-per-resolution pricing model. A "resolution" means a completed customer support interaction processed by the KarmaCX system, regardless of channel, which reaches an automated or approved outcome. In practice, KarmaCX calculates resolutions based on the number of customer conversations processed within a monthly billing period.
Current standard pricing is as follows:
- USD 0.50 per resolution for Customers processing fewer than 10,000 customer support conversations per calendar month
- USD 0.45 per resolution for Customers processing fewer than 50,000 customer support conversations per calendar month
- Custom per-resolution pricing for Customers processing 50,000 or more customer support conversations per calendar month
Pricing tiers are applied based on actual monthly usage. KarmaCX reserves the right to determine the applicable tier based on measured usage within its systems.
6.2 Invoicing and Payment Terms
- Billing is monthly and calculated in arrears based on actual usage
- Invoices are issued monthly
- Payment terms are net thirty (30) days from the invoice date unless otherwise agreed in writing
- Fees are exclusive of VAT, sales tax, withholding tax, or similar taxes, which are your responsibility
- Currency conversions, bank charges, and transfer fees are your responsibility
Late or unpaid invoices may result in suspension or termination of Services without liability to KarmaCX.
6.3 International Customers
KarmaCX provides Services globally. You acknowledge that pricing is denominated in United States Dollars unless otherwise stated, and that local taxes, currency regulations, or reporting obligations may apply depending on your jurisdiction.
7. Acceptable Use Policy
You agree not to use the Services in any manner that violates applicable laws or these Terms.
7.1 Prohibited Activities
You must not:
- Engage in unlawful, fraudulent, or misleading activities
- Infringe intellectual property or proprietary rights of any third party
- Transmit harmful, abusive, hateful, harassing, defamatory, or offensive content
- Upload or distribute malware or malicious code
- Interfere with or disrupt the integrity or performance of the Services
- Attempt unauthorised access to systems, networks, or data
- Reverse engineer, decompile, or attempt to extract source code, models, or algorithms
- Scrape, harvest, or collect data at scale without authorisation
- Circumvent security, authentication, or usage limits
- Use the Services for competitive benchmarking or intelligence gathering
7.2 AI-Specific Restrictions
You must not:
- Attempt to bypass or manipulate AI safety or usage controls
- Use AI outputs for illegal or harmful purposes
- Input sensitive personal data without appropriate legal basis
- Deploy AI outputs in high-risk contexts without adequate human oversight
- Misrepresent AI-generated content as human-generated where disclosure is required by law
7.3 Enforcement
KarmaCX may investigate suspected violations and may suspend or terminate access, remove content, or cooperate with authorities where required.
8. Service Level Agreement (SLA)
8.1 Availability
KarmaCX aims to maintain 99.5 percent monthly uptime, excluding scheduled maintenance and events outside reasonable control. Scheduled maintenance will be communicated where practicable.
8.2 Support
- Standard email support with responses within one business day
- Escalation for critical service outages
- Support hours: Monday to Friday, 09:00 to 18:00 CET
8.3 Service Changes
KarmaCX may modify the Services. Non-material changes may be made with reasonable notice. Material reductions in core functionality will be notified at least ninety (90) days in advance where reasonably practicable.
9. Data Processing and Ownership
9.1 Data Ownership
You retain all rights, title, and interest in Customer Data. KarmaCX does not claim ownership over your data.
9.2 Data Processing
KarmaCX acts as a data processor or service provider when processing personal data on your behalf. Processing is conducted in accordance with documented instructions, applicable data protection laws, and the Privacy Policy.
9.3 Subprocessors
KarmaCX may engage subprocessors, including cloud providers and AI model providers such as OpenAI, Anthropic, and Google (Gemini). KarmaCX provides advance notice of material subprocessor changes and remains responsible for their compliance.
9.4 Customer Responsibilities
You are responsible for ensuring lawful data collection, providing appropriate notices, obtaining required consents, and complying with all applicable data protection laws.
9.5 AI Training
Customer Data is not used to train shared or third-party AI models. Any system improvements derived from Customer Data are limited to the Customer's own service instance.
10. Intellectual Property
All intellectual property rights in the Services belong to KarmaCX or its licensors. You are granted a limited, non-exclusive, non-transferable right to use the Services in accordance with these Terms.
11. Limitation of Liability
To the maximum extent permitted by law, KarmaCX's total aggregate liability shall not exceed the fees paid by you in the twelve (12) months preceding the event giving rise to the claim.
KarmaCX shall not be liable for indirect, incidental, or consequential damages, including loss of profits, data, or business interruption.
These limitations do not apply to liability that cannot be excluded under applicable law, including death or personal injury caused by negligence, fraud, or mandatory data protection liabilities.
12. Indemnification
You agree to indemnify and hold harmless KarmaCX from claims arising from your use of the Services, breach of these Terms, or violation of third-party rights.
13. Term and Termination
These Terms remain in force indefinitely unless terminated in accordance with this section.
Either party may terminate with written notice. KarmaCX may suspend or terminate immediately for material breach, non-payment, or misuse.
Upon termination, outstanding fees remain payable, and data export will be available for a limited period.
14. Warranties and Disclaimers
The Services are provided with reasonable skill and care. Except as expressly stated, the Services are provided "as is" and "as available" without warranties of any kind.
15. Compliance
KarmaCX maintains appropriate technical, organisational, and legal compliance measures, including GDPR and EU AI Act requirements.
16. Confidentiality
Each party shall protect the other party's confidential information and use it solely for performance under these Terms.
17. Governing Law and Jurisdiction
These Terms are governed by the laws of Cyprus. Courts of Cyprus shall have jurisdiction, subject to mandatory consumer protection laws.
18. Changes to Terms
KarmaCX may amend these Terms. Continued use of the Services after notice constitutes acceptance of the updated Terms.
19. Entire Agreement
These Terms, together with the Privacy Policy and any separate written agreement, constitute the entire agreement between the parties. Where a separate agreement exists, it shall prevail in case of conflict.
